I'm not aware of any difference in the features of the actual base office applications. I do believe that O365 is only available as click to run installer. Additionally, the update process for O365 is different than VL copies (O365 is not handled through WSUS unless you have SCCM). If you compared purchasing the Pro Plus VL license to O365 Pro Plus only option then I see the following differences included in the subscription, but that's not what you're asking, I'm just pointing it out.
